Who this agreement is with
These Terms of Service are an agreement between you and Pit & Rig Inc., an Alberta corporation ("Pit & Rig", "we", "us" or "our"). Every reference to Pit & Rig in these terms means Pit & Rig Inc.
What Pit & Rig does
Pit & Rig is a software platform for managing field work records between contractors and their clients. It allows users to record daily labour, equipment and materials, submit tickets for review and approval, track supporting commercial records, and generate invoices from approved work.
Pit & Rig provides the software and the recordkeeping infrastructure. We are not a party to the commercial agreement between a contractor and its client, and we do not independently verify that the work, hours, equipment, materials, rates or other information recorded in the platform are accurate or were actually performed or supplied.
Your account
You are responsible for your organization's account, including the people you invite and the permissions you give them.
Account owners and authorized administrators may add, remove or change user access at any time. You are responsible for keeping login credentials secure and for notifying us promptly if you believe an account, credential or device has been compromised.
Actions taken through an authorized user account may be treated as actions taken on behalf of that organization.
Your data is yours
The business records you create or upload to Pit & Rig — including tickets, LEMs, rate sheets, purchase orders, AFEs, cost codes, invoices, supporting documents and signatures — remain yours.
While your account is active, you can access and export your records using the tools available in the platform.
We do not sell your business data. We do not use one customer's confidential business information to provide another customer with a competitive advantage.
We may process your data as necessary to operate, secure, support and improve the Pit & Rig platform, subject to our privacy and security practices.
Signatures and records
Pit & Rig can capture electronic signatures, approvals, timestamps and other information associated with a transaction, and can generate signed records with integrity and verification information.
These records are intended to document what was submitted, reviewed, approved or signed through the platform.
Pit & Rig does not determine whether a particular signature, ticket, approval or document creates a legally binding obligation between you and another party. That depends on the circumstances, your contracts and applicable law.
You are responsible for ensuring that your use of electronic records and signatures is appropriate for your business and contractual requirements.
Payment and plans
Paid subscriptions are billed monthly or annually in advance, depending on the plan selected.
Where offered, client-side users may review, approve or sign contractor-submitted records without purchasing a paid contractor subscription.
Current subscription fees, included features and plan limits are described on our pricing page or in your applicable order form.
If we materially change the price of an existing subscription, we will provide reasonable notice before the new pricing takes effect.
Availability and data protection
We design Pit & Rig to be dependable, secure and available when field and accounting teams need it. However, no software service can guarantee uninterrupted or error-free operation.
Maintenance, internet connectivity, third-party services, equipment failures, security events or circumstances outside our control may occasionally affect availability.
Pit & Rig should not be the sole copy of any record that is critical to a legal, financial, regulatory or contractual obligation. You are responsible for maintaining appropriate copies or exports of records your organization considers critical.
Limits of liability
To the maximum extent permitted by applicable law, Pit & Rig will not be responsible for indirect, incidental, special, consequential or punitive losses arising from the use of the platform.
This includes, without limitation, lost profits, lost revenue, lost business opportunities, delayed payments, billing disputes, incorrect invoices, inaccurate information entered by users, or decisions made in reliance on records created or stored through Pit & Rig.
Pit & Rig is not responsible for disputes between contractors, clients, employees, subcontractors or other users regarding work performed, rates charged, approvals given, signatures captured or amounts owing.
Our total liability arising out of or relating to the platform will be limited to the amount paid to Pit & Rig by the affected customer during the period preceding the event giving rise to the claim, except where applicable law does not permit such a limitation.
Ending your account
You may cancel your subscription in accordance with your plan at any time.
Following cancellation, we may provide a reasonable period during which authorized users can export their business records.
After that period, account data may be deleted or removed from active systems in accordance with our data retention practices, except where we are required to retain information for legal, security, backup or operational purposes.
You are responsible for exporting any records you wish to retain before your account and data are permanently removed.
Governing law and disputes
These terms and your use of Pit & Rig are governed by the laws of the Province of Alberta and the applicable laws of Canada.
Unless otherwise required by law, any dispute arising from or relating to Pit & Rig or these terms will be brought before the courts of Alberta, Canada.
Before starting formal proceedings, both parties agree to make reasonable efforts to resolve the dispute directly and in good faith.
Changes to these terms
We may update these terms as Pit & Rig evolves.
If we make a material change that affects your rights or obligations, we will provide notice and, where appropriate, require acceptance of the updated terms before continued use of the platform.
Pit & Rig records the version of the terms accepted by an account and the date and time that acceptance occurred.
